Profile

João has more than 15 years of experience in corporate law, mergers and acquisitions (M&A), venture capital, private equity, corporate governance and strategic commercial agreements. He advises companies, investors, executives, family offices and entrepreneurs on domestic and cross-border transactions, including acquisitions and disposals of equity interests, corporate restructurings and reorganizations, investment rounds, the structuring of long-term incentive plans and shareholder disputes.

 

He has extensive experience advising C-level executives and board members, particularly in connection with strategic transactions, corporate restructurings, business reorganizations and the implementation of corporate governance practices. He also represents executives, officers and directors in administrative proceedings before regulatory authorities, particularly the Brazilian Securities and Exchange Commission (CVM) and the Central Bank of Brazil (BACEN).

  • Advising an oil and gas company in connection with its financial restructuring and judicial reorganization proceedings, including the renegotiation of vessel charter agreements, service agreements and engineering, procurement and construction (EPC) contracts, as well as negotiations with bondholders, other creditors and a state-owned oil and gas company.
  • Participating in the establishment of the consortium responsible for implementing and operating an urban light rail transit (LRT) system, as well as in the structuring of its electronic fare collection system.
  • Representing a minority investor in an administrative proceeding before the Brazilian Securities and Exchange Commission (CVM) concerning a mandatory tender offer triggered by an increase in the shareholding of a Brazilian bank.
