Profile

João has a wide range of experience in complex cross-border corporate operations and restructurings, mergers and acquisitions, joint ventures, succession, compliance, audits, corporate and contractual consultation, banking and finance operations, legislation on foreign investments in Brazil, as well as corporate planning, and public and private bidding processes.

He specializes in limited liability companies, listed and unlisted companies, mixed and public economies, special partnerships, shareholders’ agreements, and legislation on foreign and Brazilian capital invested abroad vis-à-vis Brazil’s Central Bank and the Securities and Exchange Commission. He has particular knowledge of operations involving technology rights, cryptocurrency, Initial Coin Offering, and blockchain. He is also very active in the healthcare and medical equipment industries, including health surveillance legislation and its enforcement by Brazil’s health and sanitation surveillance authorities.

  • A Brazilian startup in its initial coin offering for a blockchain-backed consumer goods platform that aims to replace traditional advertising;
  • On a joint venture between basketball associations aimed at promoting the game in Brazil;
  • A company specializing in integrated therapy solutions for advanced wound treatment, non-invasive compression therapy and orthopedics, in the divestment of a manufacturer of textile hospital consumables; and
  • A leading company in the cement industry during the sale of a minority stake in the company in a transaction worth BRL 1.5 billion.
