Structuring and modeling of projects
Especially in the sectors of sanitation, solid waste, public lighting and logistics, we advise governments and private sponsors in the preparation and evaluation of feasibility studies of projects, participation in administrative processes of expression of interest, feasibility analysis of applicable regulatory frameworks, matrix design risks, bidding documents and contracts. One of our specialties in this context has been to assist governments in developing innovative mechanisms to model the acquisition of goods and services of their interest, including in the form of structured projects.
In electrical energy projects (mainly renewable), we support our clients in the various contractual, corporate and real estate operations required for the development of greenfield projects. We operate in any phase of free or regulated market-focused generation projects (ready-to-bid or ready-to-build) and in distributed generation projects, unifying knowledge of the regulatory, fiscal, real estate and environmental variables typically present in any of these projects.
Another example is the mining sector, in which we have developed a great deal of experience in advising mining companies to acquire and manage mining rights in the prospection and research phase of deposits.
Assistance in entering markets subject to bidding or auctioning
Mainly in the logistics, urban mobility, sanitation and power generation and transmission segments, we have been advising local and international investors, service providers, builders, equipment suppliers and operators, both individually or grouped in a consortium.
We act on the contractual and corporate front to model memoranda of understanding, consortium, investment and shareholder agreements, as well as the analysis of notices, respective contracts and administrative and judicial measures.
By combining this expertise, we assist our clients in enabling their business strategy to participate in the procedures.
Project Finance and Construction
We assist our clients in the negotiation and implementation of the investment, M&A and financing operations for project development purposes, one of the most critical phases of any project.
At the same time, we also assist them in designing, negotiating and implementing the required contractual architecture for the project implementation, including contracts for engineering services, equipment supply, civil works, turn-key EPCs, operation and maintenance and insurance required in each case, such as obtaining the licenses and incentives or special tax regimes of each industry.
At the end of the construction, we assist our clients to ensure that the projects are properly commissioned and ready to begin their commercial operation. After this stage, our support focuses on claim management in project contracts and sector-specific regulatory issues (including sanitation, energy, mining, highways, ports and airports), which commonly requires our specialized engagement in the relationship with the government and regulatory agencies.
Our views on the entire cycle of projects and their regulatory impacts allow us to provide simple and direct advice on sophisticated corporate-financial operations focused on infrastructure assets, be they M&A, corporate reorganization and/or financial restructuring.
